This petition and accompanying letter are requests, pursuant to Article III, paragraph 3 of the Amended and Restated Bylaws of Broken Sound Club, Inc., for a Special Meeting of the Members. In accordance with those provisions:
Special Meetings of the Members may be called by the President, a majority of the members of the Board of Governors or by the written request of ten percent (10%) or more of the voting Members of the Club. Such request shall be submitted to the President who shall call a special meeting within thirty (30) days of the date of receipt of such request.”
It has come to the members’ attention that there are discussions being held at the board level regarding material changes to the club, particularly with regards to the budget and operational leadership, namely the General Manager position.
At the most recent Special Meeting in the Spring, the board spoke very strongly about transparency and fiscal responsibility and the members would like to make sure that this is consistent with what is currently being discussed. The decisions being considered directly affect the financial future of the club and should not be taken lightly.
In particular, members would like to receive information on the following:
- Timing and Reasoning for potential major changes to staff
- Vetting process for new Executive Staff
- Determination of well qualified candidates
- Research of any potential liability that a change could cause to the club
- Process as to which any vote must take place and majority needed

I have been hearing from so many of you who are just as concerned as I am about the lack of clarity regarding our club leadership and finances. We deserve to understand exactly what is happening to our community before these major decisions are finalized behind closed doors.

Seeing the overwhelming response from my neighbors proves that we are all deeply concerned about the future of our club. This momentum confirms that our demand for transparency and accountability is the right path forward for every one of us who calls this community home.

The fact that Ellyn and I support requesting a Special Meeting for the reasons stated is not intended to reflect where we stand with respect to the issues facing BSC. In fact, although we believe there are issues to be resolved, we are not certain that we fully understand all of them and are hopeful that the Special Meeting will provide a source of information to better educate us with respect to them.
would like complete transparency before any decisions are finalized as it is our money that is being used
Increasing the size of the restaurants and or adding a third one. We should not need to make dinner reservations two weeks in advance witha few minutes windows.
There needs to be more communication with members prior to any changes being made
I have found Greg Da Vino competent, responsive and a welcome change from the previous GM. Please consider thoroughly before changing.

Transparency should be #1 on the agenda, then, every discussion made without the knowledge of the regular membership for the past three years. Many clubs have an outside management company running their communities and it may be our time to research that avenue.
