The undersigned owners of record, holding at least five percent of the voting power of the Association, demand that a special meeting of the members be held under S.C. Code §33-31-702(a)(2) and Bylaws §3.b, for the following purposes:
1. To elect directors to fill the two Board seats whose terms expired at the 2026 annual meeting, using a proxy and ballot form that lists every candidate by name, with a short biography of each.
2. To vote on removing, without cause, the following directors: Theresa Scruggs, Ted Arthur, and Jackie McCarrey. The terms of Ted Arthur and Jackie McCarrey expired at the 2026 annual meeting, and under Bylaws §4.b.iv they continue to serve until their successors are duly elected and qualified, or until removed.
3. If any director is removed, to elect directors to fill the resulting vacancies.
4. To appoint an independent inspector of election, with no financial interest in the outcome, to receive, count, and certify the proxies and ballots for this meeting.
5. To receive the reports and bids for the proposed exterior project (siding, roofs, stairwells, and any windows), and to vote on a resolution asking the Board not to levy an assessment for it until owners have reviewed them and, if Master Deed Article XX applies, have voted.
Background: The 2026 annual meeting, scheduled for September 19, did not reach quorum. The manager reconvened it for September 26 and stated that quorum was not met then either. The election of directors has not been completed. On September 23, 2026, before the September 26 meeting, owners sent written notice of their concerns about the election to the Board and RealManage by email and by certified mail. No written response has been received. The Association has since noticed an online annual meeting for December 15, 2026.
We request that the Association: (a) give written notice of this meeting within thirty (30) days of delivery of this demand; (b) provide the owner names, mailing addresses, and email addresses on file so that every owner can be notified; and (c) pay the cost of the notice and the independent inspector. This letter also serves as a written request, by an owner, to inspect and copy the membership list under S.C. Code §33-31-1602, for the proper purpose of giving notice of this meeting and communicating with members about it. Requesting owner: Debora K. Thomas, Unit 2506, [email protected].
If notice is not given within thirty (30) days after this demand is delivered, the undersigned intend to set the time and place of the meeting and give notice themselves, as S.C. Code §33-31-702(c) allows.
By signing, each owner confirms that he or she is an owner of record of the unit listed and was an owner of record on the thirtieth day before this demand is delivered. Signatures may be in ink or electronic.
Our last elected Board is not representing owners and the property management company is not performing as it should be...needs to be replaced.
