Re: Special Membership Meeting
Dear Abbott Lewis,
We refer to the Constitution, 2016 edition, of the Friars Club, article VI, Annual Meeting and Election, Section 20. In accordance with Section 20, a special meeting of the membership must be called by the Abbott upon the written request of at least 75 members.
The following members in good standing hereby submit this written request that a special meeting of the membership be called within 30 days from the date thereof. Fourteen days written notice of the meeting must be provided to the membership.
The purpose of this special meeting is to obtain information and documentation relating to the finances of the Club, membership statistics, governance, the status of pending litigation against the Club and issues relating thereto , including but not limited to:
. Name and address of the Club's accounting firm.
. Copies of the Club's periodic accounting reports, both those prepared internally and by the Club's accountants.
. Copies of the Club's audited financial statements for the periods ending
6-30-13, 6-30-14, 6-30-15, and 6-30-16.
. Records of amounts charged to or reimbursed by the Club to employees and officers in 2014, 2015 and 2016.
. Copies of legal documents and non-confidential correspondence relating to any pending litigation involving the club.
. Copies of all current employment agreements with Club employees.
. Copies of any agreements between the club and members of the Board of Governors or Executive Committee and details of any verbal agreements.
