To: GVHS Board of Directors, Officers and Employees

January 6, 2025

Subject: GVHS Board following Bylaws, Articles of Incorporation and it’s own rules.

Dear GVHS Board, Officers and Employees,

The GVHS members have recently been informed of GVHS business decisions being made in direct contradiction to the GVHS Bylaws, Articles of Incorporation and/or Rules. The members signing this petition hereby are legally notifying you that we are demanding the GVHS Board of Directors, Officers & Employees must always follow the Bylaws, Articles of Incorporation and any & all rules, that were created to protect the GVHS and it’s members.

In addition, we are demanding the Board of Directors, Officers and Employees correct any GVHS business transactions that were not done according to the GVHS Bylaws, Articles of Incorporation or rules that affect business in 2025. This includes, but is not limited to:

The process of filling Board of Director openings caused by increasing the Board size, by conducting a Membership voted election, open to all members who meet the criteria.

Following the Articles of Incorporation (Article 7) regarding accepting the Nominations Committee approval or denial of candidates for the Board of Directors and Officers.

Approval of some GVHS sanctioned shows with different rules or guidelines than other shows, including the number of judges points to be approved.

Ensuring Whistleblower laws are followed, by not retaliating against whistleblowers or people pointing out Bylaws, Articles of Incorporation or general rules are not being followed including Board Members, Officers, Employees, Volunteers and Members.

Board of Directors, Officers and employees always honor Code of Conduct regarding Conflicts of Interest by identifying them during discussions and recusing themselves from discussions and votes when there is a real or perceived conflict of interest.

The members are also demanding more transparency and communication of changes, and standard business information including but not limited to:

Publishing the Board of Directors minutes timely (consistently within 3 weeks of a meeting).

Publishing the GVHS financial statements Quarterly, including the operating Profit & Loss statement and Balance sheet.

The members need to feel confidence in the Board of Directors, Officers and employees are following all of these rules consistently. If we feel the Board, Officers and employees do not take this letter serious and make the needed changes, we reserve the right to file a formal Complaint. If we feel the formal Complaint was not resolved correctly, we reserve the right to future legal action.

Sincerely, the undersigned GVHS Members and Supporters

The lack of transparency from the board is exhausting but I am not stopping now. I have been spending my nights reviewing the bylaws to ensure we have every detail documented for the next step. Please keep paying attention because they are clearly hoping we will just get tired and walk away.

Reaching this level of support has been a long and exhausting process that I did not fully anticipate. It is clear that the frustration with these broken rules is shared by many of you. We are not resting here because the board needs to see this momentum as a sign that we are done waiting for accountability.

I have a huge investment in this breed as a trainer, breeder and many volunteer activities since 2012. I have seen many activities in the association that were not correct and transparent. Some very politically motivated

agreed.. If you have bylaws that are put in place by the membership .. they must be followed with any changes having been voted on by the membership

Been registering my horses here for over 14 years and I'm ready to walk away from the breed all together due to how many things have gotten shady or people have

Time for change if they refuse to listen to their members. And have no transparency

They set the bylaws. By all means they should follow them.
