Petition for Urgent Reform: Reclaiming ZIMURA for Creators

To the Board of Directors of the Zimbabwe Music Rights Association (ZIMURA):

We, the undersigned members, are formally requisitioning an Extraordinary General Meeting (EGM) under Section 168 of the Companies and Other Business Entities Act. The Association is currently facing a constitutional and moral collapse. Urgent action is required to protect the livelihoods of Zimbabwean creators and remove individuals who have prioritized their own pockets over the survival of the industry.



Why This Matters

This petition aims to stop the siphoning of artist funds and end the "lawfare" and manufactured legal persecution used to silence those seeking accountability.

1. Leadership Accountability & Removals

* Removal of Alexio Gwenzi: For gross misconduct and conflict of interest regarding property sales.

* Removal of Complicit Board Members: To remove those who have failed to uphold their fiduciary duties to the membership.

* Termination of Executive Director: To formally remove the General Manager following her 2025 fraud conviction and the High Court ruling (HH 438-25).

* Nullification of Co-options: To cancel the appointments of the Legal Advisor and Treasurer due to procedural flaws and actions against the interests of creators.

2. Asset Protection, Audits & Royalty Reform

* Reversal of Property Sale: To nullify and reverse the sale of the Association’s building and office assets.

* Investigation into Alexio Gwenzi: To conduct a formal inquiry into his role and conduct regarding property transactions.

* Mandate to Reconstitute Royalty Structure: To authorize the board to completely overhaul and reconstitute the royalty structure to ensure fair, transparent, and timely payments to all creators.

* Forensic & Lifestyle Audits: To commission an independent forensic audit of international royalties and distribution methods, alongside lifestyle audits of all ZIMURA employees.

3. Restoration of Justice & Structural Reform

* Restore Legitimate Representation: To affirm and restore the election of the only legitimate board representatives of the membership who have fought for justice.

* End Legal Persecution: To immediately cease and withdraw all manufactured legal persecution and disciplinary proceedings against reform-minded board members.

* Reverse Expulsions: To reverse the illegal expulsion of members who have stood up for the Association’s integrity.

* Elect Pro-People Board Members: To elect new board members from the membership to replace those removed, ensuring representation that prioritizes justice and creator rights.

* Constitutional Safeguards: To create a dedicated committee to amend the ZIMURA constitution, specifically to protect it from future abuse and power grabs.
