Dear Mr. Knox and Board Members:

We have recently learned of the actions of the Board of Directors and several of its members and we find them extremely troubling. We believe that the Board as it currently exists is not acting in the best interest of the corporation and respectfully request that it cease any actions not deemed an emergency until a special meeting of the members can be held.

He hereby demands that a Special Meeting of the Friends of the Knox Farm, Inc. Members be held pursuant to Article IV, Section 2 of the By-Laws. This meeting should be held at the earliest possible date, as scheduled by the President, Mr. Seymour H. Knox, IV

This Special Meeting shall be held for the following purposes:

1. A vote of no confidence and the removal of all members of the Board of Directors

2. Acceptance of nomination for new members of the Board of Directors.

3. A vote on the election of new members of the Board of Directors. New members of the Board of Directors will be elected on the following terms. 1) The Members will vote to elect a panel of 11 members at this time. 2) In order to stagger terms, the top three vote getters will receive three year terms, the second four two year terms, and the next four one year terms.

4. A vote requiring reimbursement to the corporation by all members of the Board of Directors who allegedly voted to authorize the use corporate funds to hire an attorney from the Law Firm of Harter Secrest & Emery LLP at the rate of $360.00 per hour, and any other allegedly authorized legal costs, and formally relieving Mr. Paul Battaglia from any alleged legal representation of the corporation and Board of Directors.

Thank you for your prompt attention to this matter. We expect that a Special Meeting will be held no later than April 15, 2014.
