TANASBROOK HOA – SPECIAL MEETING NOTICE

Proposed Removal of Board Member: Marietta “Margenta” Malm

Why This Matters:

A group of concerned homeowners is calling for a Special Meeting to vote on the removal of elected board member Marietta “Margenta” Malm, in accordance with Tanasbrook’s bylaws. This initiative reflects a commitment to enhancing transparency, accountability, and communication within the board. It also arises in response to concerns raised by residents, prompting a reassessment to ensure a more suitable alignment with the communities needs.

Special Meeting Details:

Date: June 27th (Friday)
Time: 7:00pm
Location: Tennis Courts next to clubhouse
Meeting will be held only if the 33% petition threshold is met.

Next Steps:

  • We will be collecting petition signatures to formally call the meeting.
  • You can either sign digitally if you are part of ‘Tanasbrook Neighbors’ group on Facebook (permissible per ORS 94.650, and validity of signature per ORS 84.019 and UETA) or via paper petition
  • Expect to see fellow neighbors coming door to door, in front of their garage, or at the end of streets with paper petitions for signatures in the coming days.

What the Bylaws Say:

  • Any elected director may be removed with or without cause.
  • A special meeting can be called by the board, the president, or 33⅓% of unit owners.
  • Notice of the meeting must include the purpose (removal vote).
  • A quorum (majority of all voting interests) must be present (in person or by proxy).
  • A majority of the members present at the meeting can vote to remove the director.
  • A replacement director may be elected at the same meeting to serve the remaining term.

Who Can Vote:

  • All unit owners — either in person or by proxy
  • Proxies are allowed (no bylaw-stated deadline, but early submission encouraged). This means if you are renting you can participate, you just need permission from Landlord/Owner!

Take Action:

- Sign the petition to help call the meeting
- Attend the meeting or submit a proxy
- Vote to remove and replace the board member
