Petition for the Removal of the Current Board




Pursuant to Article V, Section 3 of the Townes at Holly Ridge Bylaws, we, the undersigned members of The Townes at Holly Ridge HOA, formally request the removal of the current board due to repeated violations of fiduciary duties, failure to adhere to the bylaws and covenants, and unprofessional conduct. Article V, Section 3 of the bylaws permits the removal of board members, with or without cause, by a majority vote of the association members.



Additionally, the bylaws explicitly state that the board shall consist of five members, three of whom must be association members. The current composition and actions of the board have deviated from these requirements.



The following grievances necessitate immediate action:



1. Failure to Provide Financial Transparency



The board has repeatedly failed to provide detailed financial information when requested by association members, violating its fiduciary responsibility and undermining trust within the community.



2. Conflict of Interest and Bylaw Violations



The president has been acting in a dual role as both president and treasurer, which is explicitly against the bylaws and covenants designed to maintain checks and balances. Furthermore, the president signed a legal document in this dual capacity, further compromising the integrity of board operations.



3. Improper Handling of Dues and Notification



The board raised dues and changed due dates in January without providing the required 30-day notice to the community before these changes took effect. Historically, the assessment period has been January through December, as stated in the bylaws and covenants. This failure to notify members of changes violates procedural rules and leaves members uninformed about key financial obligations.



4. Unprofessional Conduct



Board member Charisma has displayed an unprofessional attitude in interactions with the community, further eroding trust and respect for the board’s leadership.



5. Failure to Maintain Proper Board Composition



The bylaws require the board to consist of five members, three of whom must be association members. The current board does not reflect this requirement, further compromising its legitimacy and adherence to governance standards.



We, the undersigned, request the removal of the current board to address these violations and restore proper governance to the association. We urge the scheduling of a special meeting, as provided in the bylaws, to hold elections and ensure compliance with all governing documents.
