Hampton Hall Petition for Immediate Election of a Turnover Steering Committee

We the undersigned, as members of Hampton Hall Club, do hereby petition the Declarant to immediately authorize the election process for a member elected Turnover Steering Committee. Upon election, the Declarant will recognize the Turnover Steering Committee as authorized representatives of the membership and work with them to address all Transition and Turnover issues. Key issues include developing a governance structure for the club, conducting a financial audit, identification of key Turnover issues, and negotiation of the final Turnover agreement.

Club day to day operations will continue to be managed by the Declarant appointed Board of Directors. Once Turnover is complete, a member elected board of directors will be installed as per the governing documents of Hampton Hall Club and assume the day to day control of operations.

At this point we are 13 months into the Transition process and little has been accomplished. At the announcement to initiate Transition, the Declarant indicated that it would be an 18-month process and then 8 months later indicated that the duration was uncertain and provided no forecast as to the endpoint.

The Transition Committee that was selected (by the Declarant) has spent significant time and energy in trying to move the process forward, but the Declarant has been uncooperative in terms of providing resources, or even timely feedback on questions and issues. In addition, the Declarant has made it clear that the Transition Committee responsibilities are limited to the assessment of physical assets. The Declarant has stated that a member elected board will be elected and that the final Turnover agreement will be negotiated after Turnover. We find this to be unacceptable and creates a significant disadvantage to the membership.

We the undersigned feel that the immediate installation of this elected “steering committee” is essential to help provide a member voice in the process and properly represent the membership needs without the oversight of the Declarant or Declarant Board.

Given the lack of any schedule and the ability of the Declarant to execute Turnover with 60 days’ notice, it is essential that a member elected Turnover Steering Committee be put in place immediately.

Our expectations:

  1. The Declarant will initiate the process to install a member elected Turnover Steering Committee by the end of January, 2017.
  2. The Declarant will recognize this committee as the member representatives for the Transition and Turnover process, in essence the Transition Steering Committee.
  3. The Declarant will negotiate in good faith with the membership via this Committee to establish a final Turnover Agreement.
