Just wanted to add to the comment about a board member pulling their child out of school because they were anticipating this...my son tells me that the kid in question (unless there are more, I'm fairly sure we're talking about the same person) told him last Fall that his parents were sending him to another school because "bad things" were about to happen at MTS. Those were his words, and the kid's words. I asked him why he didn't tell me before now, and he said that his friend had asked him to keep it a secret. This doesn't sit well with me.

So am I correct in assuming there was no Audit Committee?

I agree that the entire Board should go. This will give each of them some cover, in that all will be treated equally. I expect they fear a D&O lawsuit and are concerned that resignations would add to a negative fact pattern. But if they all go, perhaps they can be more comfortable in stepping aside. They must be tired. Don't know why anyone wouldn't welcome the invitation to exit - esp. with growing contempt from the broader community. Separately, I am still baffled that the Board of Trustees, of an org with an $8M annual budget, never conducted an annual audit. Or appointed the husband of a criminal to be interim ED (why not just hire a temp Admin?!). Or didn't share this news with the broader community much earlier? Or cut a deal for a paltry $1.0M when they all know the crime was much larger? Did you really think your fellow community members would just roll over like you did under Kate's reign? This is MTS' Watergate and no one trusts you. Regardless of the merit of each Board member's poor stewardship, you should see the benefit in simply stepping aside and letting a new MTS community rise up from this shameful situation. This is why cabinet secretaries "tender resignations" when something highly negative and visible happens under their watch - to protect the prestige of the Presidency. Your equivalent is the prestige of MTS. Your presence is hurting the prestige of the school and preventing everyone from moving on a positive direction. A Board more engaged in covering their own asses than helping kids learn is a Board not worth having.

I recommend half of the longest serving board members resign, as Kate's manipulation of these members kept them from an audit decades ago and are continuing to feel her influence by not pressing charges. This is a disgrace to the many donors who generously gave to Kate and Andy's Hawaiian adventure. In addition, Andy needs to pass a lie detector to escape charges.

To Whom It May Concern, In addition to my prior comments I'd like to the add the following: 1. The letter should be edited to Demand that the entire forensic accountant Report (including notes) be provided for Review. 2. The letter should be edited to Demand that the minutes from the last 18 months be provided for Review (including all drafts of minutes). 3. The letter should be edited to Demand that the terms of the negotiated settlement (including all drafts of the settlement) be provided for Review. I also would like to see provisional Board members put in place within the next 30 days, that are comprised of volunteers from current parents (let me be the first to formally volunteer.) Lastly, the letter that was sent to the parents stated that the "foundation" accounts were not affected by the criminal embezzlement. How do we know that for certain? I attended the meeting and wanted to inform others who may not have been able to attend of important details that were not released in the original letter provided to the parents. The letter only introduce culprit as “former employee” and no figure for restitution is provided. Of course, we all knew it had to be Kate. This was confirmed to our children before it was confirmed to us– and through prodding, the Board revealed that the secret account that Kate used to hide the funds was established in 1988, providing an additional 20 YEARS for Kate to steal funds from the school. The actual loss is possibly $2MM to $3MM, but “cannot be documented”. Their claim of a “good recovery” does not take this into account. The recovery they are expecting is highly uncertain and is dependent upon the sale price of her vacation home (and the hopes that the IRS doesn’t get to it first). They expect $500K from this sale – giving Andy his share in full and "splitting" the remainder with Kate. The rest of the restitution is from future-but-no-longer-to-be-provided retirement payments –which they value at ~$900K but for which the actual cost is highly uncertain. Due to his “cooperation”, Andy was left off the hook entirely, and in fact has been paid $170K+ housing allowance to lead the school, despite, the board having knowledge of this transgression the entire school year – because "he cooperated in the investigation" and the “students like him”. Hard to believe Andy could have been completely unaware of this situation for almost 3 decades. The other thing that boggles the mind is the assertion that Kate now has no other assets and lives entirely off of social security. Really? Again, hard to believe given her salary and the fact that she stole a few million from the school over the last 3 decades - and the fact that she is good at hiding assets. What has happened here is outrageous and highly illegal. The current Board has clearly compromised our tax exempt status under the rules governing 501(3)(C). The only solution is a complete overhaul of The Board and Amendments to the current ByLaws. The lack of transparency is astounding! The lack of accountability is unacceptable. Furthermore what has happened here is criminal.
