We, the undersigned as stockholders and members in good standing with White Thorn Lodge direct the President of the organization to call a Special Meeting of the Members. This petitions specifies that the meeting be held on June 15, 2014 at 10am in accordance with the bylaws. The bylaws specify that a petition signed by 20% of the membership shall be cause for such special meeting.

The signatures collected pertain to holding special meeting to vote on the bylaw amendment proposal as stated below. Ballots for this proposed bylaw amendment shall be mailed out prior to the meeting by the secretary in accordance with the bylaws for vote upon by the membership.

The agenda for the meeting shall be as follows:

Vote upon proposed bylaw regarding electronic signatures.

The bylaw amendment shall be as follows showing the additions to the two (2) sections underlined:

Article VI - Meeting of Members; Section 3: Special Meeting

It shall be the duty of the President to call a special meeting of the members as directed by resolution of the Trustees, or upon a petition signed manually or by means of a device or machine according to the Uniform Electronic Transaction Act (1999); Uniform Commercial Code §3-401(b), and PA ST 73 P.S. §2260.303, by twenty percent of the members and presented to the Secretary. The notice of any special meeting shall state the date, time, and place and purpose thereof. No business shall be transacted at a special meeting except as stated in the notice.

Article XII - Amendments; Section 1:

Bylaws may be amended by two-thirds (2/3) of the votes cast at the Annual Meeting or Special Meeting, a quorum being present. Such amendments shall become effective immediately unless the amendment provided within itself specific provisions as to the effective date.

Amendments may be proposed by the Trustees or by a petition signed manually or by means of a device or machine according to the Uniform Electronic Transaction Act (1999); Uniform Commercial Code §3-401(b), and PA ST 73 P.S. §2260.303, by at least20% of the members. A statement of and proposed amendment shall accompany the notice of any regular or special meeting at which such proposed amendments shall be voted upon.

By signing the petition, we understand that this is not a statement of being in favor or against the above, but merely to have the right to vote uponthe issue and a forum in which to do so.
