"As a result, the process involved in preparing a valuation is not readily summarized. THE RESULTS OF THE ANALYSES PERFORMED BY BLACKSTONE ARE NOT NECESSARILY INDICATIVE OF ACTUAL VALUES OR FUTURE RESULTS, WHICH MAY BE SIGNIFICANTLY MORE OR LESS FAVORABLE THAN SUGGESTED BY SUCH ANALYSIS." Let me repeat that: " ARE NOT NECESSARILY INDICATIVE OF ACTUAL VALUES" ---------------------------------------------------------- Understand that THE KEY NUMBER is solely based on DCF analysis: .07-.09/mhz-pop. THEY NEVER SHOW ANY CALCULATIONS! Debtors indicate that they use RKF most valuable spectrum setup and assume waivers are obtained. This would have to be the Category 2: LTE pico-cell over 5-Mhz (1390-1395). DEBTORS FAIL TO INCLUDE (1432-1435) 3-Mhz AS ADDITIONAL VALUE. HOWEVER, After all this technical discussion of the RKF setup, DEBTORS, IN THEIR OWN WORDS, NEVER USE RKF DATA TO VALUE THE SPECTRUM! Debtors rely almost completely on Exhibit F "Valuation Analysis" which is "PRIMARILY BASED UPON A DISCOUNTED CASH FLOW ANALYSIS OF THE PAYMENTS UNDER THE SPECTRUM LEASE" ------------------------------------------------------------- So, let's look at the numbers. Blackstone clearly takes NO RESPONSIBILITY for the spectrum lease numbers. Again the quote: "Blackstone assumed and relied on the accuracy and completeness of all financial and other information furnished to it by the TSC Debtors, as well as publicly available information." DCF analysis is like a computer calculation: garbage in garbage out Debtor had an 'insider' shareholder relationship with Falconne and Harbinger. How 'true to market value' is the $2M lease payment? Blackstone takes NO RESPONSIBILITY for that number at all. How about the $40,000 current lease payment. Is that a fair market value? How did Blackstone weight that value? Again, Blackstone takes NO RESPONSIBILITY for that number at all. THERE HAVE BEEN NO CALCULATIONS PRESENTED. Finally, Blackstone's Senior Managing Director Steven Zelin, declares, under penalty of perjury, that the valuation is correct. Understand this, the CALCULATIONS by Blackstone may be correct, BUT HOW CORRECT ARE THE NUMBERS USED IN THEIR CALCULATIONS - WHICH BLACKSTONE ADMITS THEY TAKE NO RESPONSIBILITY? --------------------------------------------------------------- CONCLUSION: DCF, ESPECIALLY WHEN USING INPUT NUMBERS OF QUESTIONABLE VALUE AS INPUT WILL CERTAINLY PRODUCE RESULTS NOT NECESSARILY INDICATIVE OF ACTUAL VALUES THE ONLY WAY TO VALUE DEBTOR'S 8Mhz OF 1.4 SPECTRUM IS CURRENT MARKET VALUATION BASED NOT ON DISCOUNTED CASH FLOW ANALYSIS BUT BY $/Mhz*POPULATION ANALYSIS. (Note: debtors give a valuation figure of $/Mhz*Population BUT NEVER USE THIS METHOD OF VALUATION) Debtor's Valuation is an intentional kaleidoscope of well placed and well timed misdirection. Bits and pieces are drawn in the documents, but the real picture is never to be seen. ---------------------------------------------------------------- "We, the Common Shareholders of Terrestar Corperation, OBJECT to the debtor's plan of reorganization. We have been unjustifiably wronged. The Common Shareholders fiercely believe that the debtors have time and time again intentionally undervalued and mislead the Court as to the true value of their assets. As the Common Shareholders have not been represented in Court by a Shareholder Committee, we beseech the court - AS OUR ONLY RECOURSE - to allow by its judicial discretion and AS AN ACT OF GOOD FAITH FOR ALL PARTIES INVOLVED, that the Court appoint a FAIR, HONEST, and INDEPENDENT EXAMINER to give a proper, current market evaluation of the assets."Flag

Common shareholders are being illegally treated in these proceedings. Fair valuation of the assetts have been abrogated by the court via the preferred shareholders. Once again, common shareholders will be shown the door with no supporting business plan by the preffereds and confirmed by the court. Judge Lane, you would see things differently if you, as a shareholder in a publicly traded company, were treated similarly. Do the ethical and legally correct thing by denying this POR and preserving the common shareholders. To not do so would be a travesty, one I cannot live with.Flag

The value of Terrestar spectrum asset is significant to cover everyone including the common shareholders. 1.4 ghz spectrum is undervalued as per the current submmitted reports by the debtors. There is lot of proof submitted to the court with regards to higher valuation of 1.4 ghz spectrum. Please help the common share holders by appointing an independent examiner for 1.4 ghz spectrum evaluation. There are many filing by common shareholders that proves the true value even if is not as concise as what an equity committee or independent examiner would provide. Please judge we all were brought up on good morals and ethics with the belief in looking out for our fellowman and creating better societies. No one should let the few powerful and selfish rob us of our integrity and character. There are a few powerful and wealthy in this world that have done so much good. The peolple that work and run terrestar now put themselves in this situation all by themselves,we had nothing to do with this happening.We the investors put our money in this company with good intentions.Terrestar was advertising how good things were and making themselves look very good when we put our money into this companies common stock expecting good things to happen.Heres what I say, turn this around and put the common share holders in charge,and I mean us ,we the little common share holders.Not anyone that is fighting against us that holds any higher up classes of stock because they are all in it together.Alot of companies been taking over by share holders and ended up doing very good.Flag
