Expression of General Interest in a Cayman Investment and Infrastructure Fund

I/We understand that the Company is in process of establishing of an infrastructure investment fund (the "Proposed Fund") based in the Cayman Islands with the intention of offering investment opportunities to local Caymanians, non-Caymanian residents, pension funds and financial institutions.

I/We understand that the primary purpose of the Proposed Fund would be to deliver funding for the development and/or enhancement of various infrastructure projects in the Cayman Islands (such as airport and seaport facilities, waste management and sewerage) and to provide a means by which the local community may participate financially in the development of those projects which are of direct interest, relevance and impact locally.

I/We hereby express my/our full support for the establishment of the Proposed Fund and my/our general interest in the possibility of making an investment in the Proposed Fund (subject of course to suitability requirements and the Proposed Fund's procurement of local licensing and regulatory approvals).

I/We acknowledge that: (i) the Fund is being established, (ii) there are no securities for which I/We may subscribe, and (iii) my signing of this letter will not give me/us any entitlement to subscribe for any securities that the Proposed Fund may issue in the future or any claim or recourse against any person in the event the Proposed Fund does not proceed or if I am not eligible to invest in any securities issued by it or am otherwise unsuccessful in acquiring any such securities. In addition, I/we acknowledge and confirm that the Company has not attempted to solicit investment monies from me/us and that I/We have not advanced any monies to the Company with respect to the Proposed Fund.

However, subject to receiving further particulars which are to my/our satisfaction, I/we may be interested in investing an amount in the Proposed Fund as set forth below. I/We understand that this is not a financial commitment and that I am not hereby bound to acquire any securities which the Fund may issue. I/We hereby confirm that the Company may utilise the information supplied herein for the purpose of making cash flow projections/modelling and may disclose such information to the Cayman Islands government in order to indicate the level of support for the establishment of the Proposed Fund and the amount of capital the Proposed Fund could look to raise locally.

I/We am/are pleased to include my/our name(s) on the list below of interested persons so that I/we can receive further information about the Proposed Fund when this becomes available.
